Egyptian authorities and banks want a recent good standing certificate for U.S. companies, but legalization through the state, Washington and the Egyptian Embassy takes time. Plan backwards from your Egyptian filing date, fix any lapse in state compliance, and order from the state of formation. No notary is needed. We handle the full chain.
Recent, and legalized in time. Order the certified certificate from the state of formation with the Egyptian filing date in mind. It is authenticated by the state and Washington and legalized by the Egyptian Embassy. It is never notarized.
A certificate of good standing confirms that a U.S. company is not only on the state’s records but also current with its state obligations: reports filed, fees and franchise taxes paid, and a registered agent in place. Egyptian authorities and banks treat it as the foreign company’s proof of life. For Egypt, two things make this certificate trickier than elsewhere: the embassy legalization chain takes time, and Egyptian offices still expect the certificate to be recent when it arrives.
Between the state, the U.S. Department of State, the Egyptian Embassy and international courier, several weeks can pass before a certificate reaches Cairo. If the Egyptian office counts the certificate’s age from its issue date, an early order can expire before it is used. Fix the filing date with your Egyptian lawyer or agent, then order the certificate so that it is legalized and delivered just in time. If a filing slips, a new certificate may be needed.
A state will not issue a good standing certificate to a company that has missed an annual report or fee. Check the company’s status on the state’s business search before you plan the Egyptian timetable. If the status has lapsed, file what is overdue, pay what is owed, or complete reinstatement. Only then can the certificate be ordered and sent through legalization.
Most Egyptian filings accept a standard short-form certificate. Where a file needs to show the company’s history, for example after a name change or merger, some states, such as Delaware, issue a long-form certificate listing the company’s filings. The certificate must come from the state of formation, not a state where the company is merely registered to do business.
As a state record, the certificate is ordered in certified form and is never notarized. The issuing state adds an authentication certificate, which Egypt requires in place of an apostille. Washington then authenticates the state, and the Egyptian Embassy, or the consulate for that state, legalizes it. An Arabic translation is made in Egypt for official use. Some Egyptian processes, such as later changes to a branch’s registration, may ask for a fresh certificate again, so keep the U.S. company in good standing throughout.

ReorderTiming traps: ordering too early so the certificate is stale on arrival, discovering a lapsed status mid-project, ordering from a foreign-qualification state, notarizing the certificate, or a filing delay without ordering a fresh one.
